1. Introduction and Acceptance of Terms

These Terms of Use ("Terms") constitute a legally binding contract between Modxy Inc ("the Company"), doing business as TradePiks Journal, and you, the user. By accessing the TradePiks Journal platform, utilizing its research tools, or subscribing to its services, you are attesting that you have read, understood, and agreed to be bound by these Terms, conditions, and all associated disclaimers. Your use of the platform constitutes an absolute attestation of your agreement to these provisions. If you do not agree to every term and condition set forth herein, you are strictly prohibited from using the platform and must immediately cease all use of the TradePiks Journal website and its associated services.

2. Geographic Restrictions and Eligibility: US Residents Only

The services provided by TradePiks Journal are intended solely for individuals residing within the United States. Access to the platform and the creation of user accounts by individuals located in other jurisdictions is strictly prohibited.
Representation and Warranty of Residency: By creating an account or accessing the platform, you represent and warrant that you are a legal resident of the United States. Modxy Inc. reserves the right to terminate accounts immediately and without notice if a user is found to be accessing the site from a non-US IP address or utilizing a Virtual Private Network (VPN) or any other proxy service for the purpose of circumventing these geographic restrictions. Any such use is a material breach of this agreement and voids your right to use the platform.

3. Description of Services and Manual Entry Policy

TradePiks Journal is a manual trading journal and research tool designed to assist users in tracking personal trading activity and conducting market research.

NOTICE OF MANUAL ENTRY AND DATA RESPONSIBILITY

Unlike "auto-sync" models provided by other platforms (that utilizes 15+ API integrations for real-time intraday imports), TradePiks Journal does NOT provide automated broker synchronization or API-based trade imports.

User Responsibility: All data entry—including the accuracy of trade prices, quantities, execution times, and fees—is the sole responsibility of the user. Because TradePiks Journal is a repository for user-entered data, the Company does not verify the accuracy of user-provided trade data against any third-party exchange or broker.

Technical Limitations: Users are responsible for calculating their own net P&L on complex strategies (e.g., multi-leg options spreads or futures rolls), whereas other automated platforms may group these automatically. Modxy Inc. is not liable for "User Error," including manual data entry mistakes, miscalculations, or the confusion of news signals with trade data.

4. CEO Content and Personal Trade Disclosures

The CEO of Modxy Inc. may periodically post personal trades, market commentary, or portfolio updates on the website and associated YouTube channels. YOU SHOULD KNOW: Any content posted by the CEO is provided for informational and educational purposes only. Such posts reflect personal opinions and do not constitute professional financial advice, investment recommendations, or a solicitation to buy or sell any specific security. These disclosures are personal opinions and not professional recommendations. You are solely responsible for your own investment decisions.

5. User Forums and Community Content

TradePiks Journal may provide forums or comment sections for user interaction. No Monitoring: Modxy Inc. does not monitor, edit, or vet content posted by users. The Company acts as a passive conduit for user-generated information. No Liability for User PnL: Modxy Inc. is not responsible for any financial losses or gains resulting from information, strategies, or trades shared by other users. You rely on user-generated content entirely at your own risk.

6. Financial Disclaimers and Risk Warning

TradePiks Journal is a suite of research and analysis tools. By using this platform, you acknowledge the following: Not an Investment Advisor: Modxy Inc. is not a registered investment advisor and does not provide recommendations regarding specific securities. Nothing on this platform should be construed as investment advice. Risk of Total Loss: Trading and investing involve significant risk. There is a possibility of losing all or more than the initial investment. No Guarantee of Results: Historical performance, whether presented by the Company, its CEO, or its users, is not a guarantee of future results. Sole Responsibility: You are solely responsible for your investment decisions.

7. Payments, Billing, and Stripe Processing

Payment Processing: All payments are handled securely through Stripe. We accept credit card payments only. Billing Cycle: Users are billed on a recurring monthly or yearly basis from the date of purchase until a valid cancellation is received. Proration for Upgrades: While subscriptions are generally fixed for their term, customers may upgrade their subscription level (e.g., from a monthly to an annual plan). In such cases, the amount due for the new subscription will automatically be prorated based on the remaining days of the current billing cycle. Non-Refundable Policy: All payments are non-refundable. We do not offer pro-rated refunds for cancellations made mid-cycle. Cancellation Responsibility: Users must cancel via their account settings. Modxy Inc. is not responsible for continued billing if a user fails to confirm their cancellation through the platform interface.

8. Limitation of Liability and Liability Cap

Modxy Inc. will not be liable for any incidental, special, indirect, or consequential damages, including loss of profit, data, or investment losses, arising in connection with your use of the service. LIABILITY CAP: In no event will the Company's total aggregate liability to you for all claims—including those for contract, tort, and including all attorney's fees and costs—exceed the aggregate amount paid by you to Modxy Inc. for the one (1) month period immediately preceding the event giving rise to such liability.

TradePiks is a trade-tracking and educational tool. We do not provide financial advice, trading signals, or investment recommendations. Trading stocks involves substantial risk, and you assume full responsibility for your financial decisions and outcomes.

These Terms of Use are governed by the laws of the State of California, without regard to its conflict of law principles. You hereby irrevocably attorn to the exclusive jurisdiction of the courts located within California for any legal proceedings not subject to arbitration.

10. Dispute Resolution: Binding Arbitration and Class Action Waiver

Binding Arbitration: Any dispute arising out of or relating to these Terms shall be resolved through binding arbitration before a single arbitrator conducted by JAMS or the American Arbitration Association (AAA). The arbitration shall be conducted in the English language in California. CLASS ACTION WAIVER: ALL CLAIMS MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. YOU AGREE THAT BY ENTERING INTO THESE TERMS, YOU AND MODXY INC. ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION.

11. Force Majeure

Neither party shall be liable for any delay or failure in performance due to events outside their reasonable control, including, without limitation, acts of God, labor disputes, telecommunication carrier failures, market disruptions, or governmental actions.

12. Termination and Modification

Termination: Modxy Inc. reserves the right to terminate or suspend your access for a material breach of these Terms, including circumvention of geographic restrictions. Modification: The Company may modify these Terms at any time. Continued use of the platform after changes are posted constitutes your acceptance of the revised Terms.
